Associate Counsel - Business Transactions

A Dallas-based investment adviser with over thirty years of experience advising hedge funds, long only funds, separately managed accounts, venture funds, and private equity funds is currently looking for an experienced transactional attorney to assist its Legal and Compliance team in supporting its venture capital business. While the right candidate will be focused on supporting the venture capital business, they will also have the opportunity to provide legal and compliance assistance to the other business lines. The ideal candidate will have three or more years of legal experience running venture capital deals, will have a business-oriented mindset, and is looking to be part of a small but collaborative team.

Key Responsibilities:

• Support the Venture Capital team in their efforts to identify interesting investment opportunities by helping to spot and mitigate issues
• Work with the Venture Capital team to draft, review and negotiate venture capital deals throughout the venture capital life cycle
• Along with other members of the Legal and Compliance Team, advise portfolio companies on corporate governance, equity compensation, commercial contracts, and strategic transactions
• Assist with fund formation, LP agreements, and internal governance
• Become an integrated member in the compliance program by performing testing and advising on relevant issues

Qualifications

• J.D. from an accredited law school and admission to at least one U.S. state bar
• 3-5 years of experience
• Strong understanding of startup financing structures, cap tables, and exit strategies
• Excellent drafting, negotiation, and communication skills
• Ability to manage multiple projects and prioritize effectively in a fast-moving environment
• High integrity, sound judgment, and a collaborative mindset

Preferred Experience

• Prior experience as a deal attorney with a reputable law firm, focusing on venture capital deals
